About the Role
We are seeking an experienced VP to join a leading financial institution’s Loan Agency Transaction Management team. This is an excellent opportunity to work on complex loan transactions within a dynamic EMEA banking environment.
Key Responsibilities
- Review and negotiate draft transaction documents for new loans including loan facility agreements, Common Terms Agreements, Intercreditor Agreements, security trust & intercreditor deeds and other relevant agreements
- Review and negotiate provisions in capacities such as Global Agent/Intercreditor Agent/Facility Agent, ensuring obligations are deliverable and align with internal processes and procedures
- Manage deal onboarding, overseeing coordination, liaison and set-up of new deals and confirming Conditions Precedent
- Manage amendment, consent and waiver requests for existing loan documents with Lenders and Borrowers, updating Debt Domain consent tabs with lender decisions
- Monitor and diarise margin changes triggered by performance-related events or trigger dates in loan agreements, including compliance certificate/ratings changes
- Set up and manage financial reporting covenant diaries via Debt Domain, distributing covenant information to lenders in a timely manner
- Relationship management of borrowers and lending groups
- Act as Security Agent, reviewing Account Bank agreements and liaising with relevant parties
- Assist in training, work monitoring, delegation and managing less experienced colleagues, including covering for absences
- Complete internal ad-hoc tasks as requested by the team head
Documentation and Administration Oversight
- Oversee projects and ad hoc tasks that advance systems, processes, procedures and scope of the Loan Agency Administration team
- Liaise with the Loan Agency Administration
- Communicate with customers, relationship managers, agent banks and participant banks to ensure agency facilities are correctly handled in accordance with agreements
Essential Requirements
- Loans Agency experience with a focus on Facility & Security Agency documentation
- Prior experience using Debtdomain
- Strong business awareness
- Excellent team working abilities
- Excellent interpersonal, verbal and written communication skills
- Ability to adapt and prioritise appropriately in a fast-moving and evolving environment
- Previous knowledge of Libor transition related amendments
