Our client, a leading global bank, is looking for an experienced Loans Agency Documentation Associate to join their Loan Agency MO team working on a hybrid model of 3 days from home. You will use your experience to review and negotiate the draft of transaction documents for new loans including loan facility agreements, as well as deal onboarding, and work with the team to continue to provide excellent service to the lenders and clients.

Role duties of the Loan Agency Documentation Associate:

Part of the Loan Agency team, the LMA Loan Documentation Associate’s primary role is the review and negotiation of draft documentation as facility agent:

  • Transaction documents for new loans including loan facility agreements, Common Terms Agreements (Project Finance), Intercreditor Agreements and STIDs and other relevant agreements drafted on the basis of the LMA documentation suite from term sheet through the closing process pre signing.
  • Amendment, consent and waiver documents for existing loans
  • Review and negotiate provisions in capacities such as Global Agent/Intercreditor Agent/Facility Agent including administrative provisions within Project Finance documents and related credit Agreements to ensure obligations being agreed to are deliverable and as per the requirements of the Bank’s internal processes and procedures.
  • Deal onboarding – following Conditions precedent/making deal effective
  • Margin changes triggered by performance related events i.e. compliance cert/ratings change notifying lenders on Debtdomain
  • Maintaining financial and reporting covenant diaries
  • Managing with borrower of all covenant deliverables
  • Distribution of covenants to the lenders
  • Liaising with lenders on their financial and deal questions i.e. company performance/deal impact /liaise with lawyers and advisors on their behalf.
  • Relationship management of the borrower/lenders – providing guidance on the agreement processes.
  • Managing consents and waivers with Borrower
  • Managing and obtaining responses from lenders on consents and waivers.
  • Documentation execution after initial signing.
  • Acting as Security Agent where applicable.
  • Assist in work delegation and controlling
  • Checking and signing as required

Required Skills to be considered for the Loan Agency Documentation Associate role:
