Our client, a global, London-based bank, is looking for a highly experienced Loans Agency professional, to oversee their Loans Agency Team, dealing with Syndicated transactions across EMEA.
Using your excellent leadership skills and exceptional Loan Agency knowledge, you will be overseeing and managing all documentation and admin activities within the department.
You will be the main port of call for a team of 15 staff, guiding, training, and mentoring them to ensure the best performance within the department. Alongside this, you will have the opportunity to share recommendations to smooth out any processes and maximise budgets.
Duties and Responsibilities
Oversee & manage the coordination, liaison and set up of new deals including:
- Guiding, training and mentoring all team members in liaising with lenders on their financial and deal questions i.e. company performance/deal impact/liaise with lawyers and advisors on their behalf.
- Completing Performance Appraisal reviews for junior staff
- Checking the daily work and signing documents as required
- the review and negotiation of draft Transaction documents for new loans including loan facility agreements, Common Terms Agreements (Project Finance), Intercreditor Agreements and STIDs and other relevant agreements drafted on the basis of the LMA documentation suite from term sheet through the closing process pre signing.
- Review and negotiate provisions in capacities such as Global Agent/Intercreditor Agent/Facility Agent including administrative provisions within Project Finance documents and related credit Agreements to ensure obligations being agreed to are deliverable and as per the requirements of the Bank’s internal processes and procedures.
- Managing the Deal onboarding – following Conditions precedent/making deal effective
- Managing the Amendment, consent and waiver documents for existing loans with the Lenders and the Borrowers
- Managing and obtaining responses from lenders on consents and waivers.
- Checking and Managing the Margin changes triggered by performance related events i.e. compliance cert/ratings change notifying lenders on Debt domain
- Managing the Maintenance of the financial and reporting covenant diaries
- Managing with borrower of all covenant deliverables
- Overseeing the review of the Distribution of covenants to the lenders
- Relationship management of the borrower/lenders – providing guidance on the agreement processes.
- Documentation execution after initial signing.
- Acting as Security Agent where applicable.
- Assist in work monitoring, delegation and controlling including covering for absences
- Completing the internal ad-hoc tasks as requested by the team head
Oversee and manage all documentation and admin activities including:
- Manage a hybrid working, high performance team
- To oversee projects and ad hoc tasks that further advance the abilities and scope of the Group.
- To ensure that all drawdowns, rollovers, repayments, prepayments, guarantee bookings and fees for Mizuho are processed by the team in a timely and accurate manner
- To ensure that primary and secondary trades are processed in a timely and accurate manner
- To communicate with Customers / Relationship managers / Agent Banks and Participant Banks (as the case may be) in order to ensure that d Agency facilities are correctly handled in accordance with the Agreements and the requirements of the customers
- To ensure that nostro outstandings are tightly controlled
- To report to the Senior Associate Director delayed items, disputed amounts and provide updates on outstanding investigations
- To oversee the preparation of the department’s reporting and internal controls.
